3. Our Services
We provide wholesale trading and distribution services, including sourcing, supply and delivery of goods to business customers. The specific goods, quantities, pricing and delivery arrangements for any order will be set out in a quotation, order confirmation or supply agreement between you and us. Any general descriptions on this website are indicative only and do not constitute an offer to supply any particular goods at any particular price.
4. Quotations and Orders
- Quotations issued by us are valid for the period stated in the quotation, or if no period is stated, for 14 days from the date of issue.
- A quotation does not constitute an offer to supply. An order placed by you is an offer to purchase, and a binding contract is formed only when we accept your order in writing (including by email) or begin fulfilling it.
- We may decline any order, in whole or in part, at our discretion, including where goods are unavailable or where pricing or stock information was displayed in error.
- You are responsible for ensuring that the details of your order, including delivery address, specifications and quantities, are accurate and complete.
5. Price and Payment
- Prices are stated in Australian dollars and, unless otherwise stated, are exclusive of GST. GST is payable in addition to the price at the prevailing rate, and we will provide a tax invoice where GST applies.
- Payment terms will be as stated on our invoice or quotation. Where no terms are stated, payment is due within 14 days of the date of invoice.
- We may require a deposit or advance payment before accepting or fulfilling an order, particularly for custom or bulk orders.
- If you do not pay by the due date, we may suspend further deliveries, charge interest on overdue amounts at a reasonable commercial rate, and recover reasonable costs of recovering the debt.
- You may not set off or withhold payment on the basis of any dispute without our prior written agreement.
6. Delivery and Risk
- Delivery times are estimates only. While we aim to meet agreed delivery windows, we are not liable for delays caused by suppliers, carriers, customs or events beyond our reasonable control.
- Risk in the goods passes to you on delivery to the delivery address you nominate, or on collection by you or your nominated carrier.
- You should inspect goods on delivery and notify us of any shortage, damage or visible defect within a reasonable time, and in any event within 7 days of delivery.
- Partial deliveries may be made where reasonably necessary, and each delivery will be invoiced separately.
7. Returns and Refunds
Our returns process operates alongside your rights under Australian Consumer Law, which are set out in section 8 below. In addition:
- Returns of goods that are not defective must be agreed with us in advance, be in original, resaleable condition and packaging, and may attract a restocking fee.
- Perishable goods, custom-ordered goods and goods specially sourced for you generally cannot be returned for change-of-mind reasons.
- Return freight costs for non-defective goods are payable by you unless otherwise agreed in writing.
8. Australian Consumer Law Guarantees
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted or modified.
Our goods and services may come with guarantees that cannot be excluded under the Australian Consumer Law. You may be entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You may also be entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

9. Limitation of Liability
To the fullest extent permitted by law:

- Where liability cannot be excluded, our total aggregate liability for any claim is limited, at our option, to the resupply of the relevant goods or services, or the payment of the cost of resupplying them, consistent with the Australian Consumer Law.
- Nothing in this section limits your rights under section 8 or any non-excludable statutory rights.

- You may terminate an unfulfilled order by written notice before dispatch, subject to payment of reasonable costs already incurred by us.
- Termination does not affect accrued rights, obligations or liabilities of either party, including your obligation to pay for goods already delivered.
13. Force Majeure
We are not liable for failure or delay in performing our obligations to the extent caused by events beyond our reasonable control, including natural disasters, pandemic, industrial action, transport disruptions, supplier failure, government action or power outages. We will notify you as soon as practicable and take reasonable steps to mitigate the impact.
14. Governing Law
These Terms are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from those courts.
15. Changes to These Terms
We may update these Terms from time to time. The current version will always be published on this page with a revised review date. Continued use of our website or services after changes are published constitutes acceptance of the updated Terms. Material changes affecting current orders will be communicated to affected customers directly.
